Local business:
Limited Liability Company (LLC) – the most popular form for private businesses, which does not require initial capital investment and provides 0% profit tax until dividend distribution.
Joint Stock Company (JSC) – the optimal choice for companies planning to trade shares on the stock exchange. Establishing a JSC requires more formalities but allows raising additional capital through the issuance of shares. This form is often used by large businesses.
Limited Partnership (LP) – a mixed type of partnership where one or more partners have limited liability and at least one partner has full liability. This form is well suited for investment projects where some partners contribute only capital while others manage the business.
Joint and Several Liability Company (JSC) – all partners are jointly and severally liable for the company’s obligations with all their assets. This form is often used for small family businesses or professional practices where there is a high level of trust between the partners.
Cooperative – an organization created to meet the economic and social interests of its members. Often used in agriculture, housing management, and other areas where cooperation among members is important.
Sole Proprietorship (SPO) – a form of sole proprietorship often used for small businesses. The SPO is liable for the obligations of the business with personal assets.
Foreign business:
Branch of a foreign entrepreneur – an independent subdivision of a foreign company that represents the parent company in Georgia. A branch is not a separate legal entity but has its own address and management body. It carries out the activities of the parent company.
Subsidiary of a foreign entrepreneur – a separate legal entity founded by a foreign company. A subsidiary enjoys independent legal entity status, although owned by a foreign organization. This form is often chosen by companies planning long-term activities in Georgia.
